Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Assimilate speed reading app (the “App”) provided by Assimilate LLC (“we”, “us”, or “our”) available at getassimilate.com. By accessing or using the App, you agree to these Terms. If you do not agree, please do not use the App.

1. User Eligibility and Account Registration

Eligibility:

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the App. By using the App, you represent and warrant that you meet the eligibility requirements.

Account Registration:

• You may register using OAuth providers (Google, Apple, or Facebook).
• Additional registration methods (such as email-based registration) may be offered in the future.
• You are responsible for maintaining the confidentiality of your account information.

2. Subscription and Payment Terms

Trial Period:

The App is free to use for an initial trial period. During this period, you may access all App features without charge.

Subscription:

• After the trial period, continued use of the App requires the purchase of a monthly subscription.
• Subscription fees will be billed via Stripe and are due in advance for each billing period.
• You may cancel your subscription at any time; however, cancellation will not affect access until the end of the current billing month, and no refunds will be provided for the remaining period.

Payment Processing:

All payments are processed securely by Stripe. By subscribing, you consent to the processing of your payment information in accordance with Stripe’s privacy and security policies.

3. Third-Party Services

We utilize various third-party services in the operation of the App, including:

• OAuth Providers: Google, Apple, and Facebook (for account registration and authentication).
• Analytics: Umami (which may collect usage data including location and device information).
• Payment Processing: Stripe.
• AI Processing: OpenAI API (which processes certain user-typed inputs).

We are not responsible for the privacy practices, content, or services of these third-party providers. You should review their respective terms and privacy policies to understand their practices.

4. User Conduct and Acceptable Use

Permitted Use:

You agree to use the App only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable law or regulation.
• Attempt to disrupt or interfere with the functioning of the App.
• Use the App to transmit any harmful, offensive, or otherwise objectionable material.

User Content and Inputs:

Some inputs you provide (e.g., text entries) may be processed by third-party services such as the OpenAI API. You are responsible for ensuring that your content does not infringe on any third-party rights.

5. Intellectual Property

Ownership:

All software, design, content, and other materials provided in or through the App, including any modifications or updates, are the property of Assimilate LLC or its licensors. All rights not expressly granted in these Terms are reserved by Assimilate LLC.

License:

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial use.

6. Disclaimers and Limitation of Liability

Disclaimer of Warranties:

The App is provided on an “as is” and “as available” basis. We expressly disclaim any warranties, whether express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability:

In no event shall Assimilate LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the App, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount paid by you (if any) for accessing the App during the period in which the claim arose.

Indemnification:

You agree to indemnify and hold harmless Assimilate LLC, its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the App or violation of these Terms.

7. Governing Law and Dispute Resolution

Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflicts of law principles.

Dispute Resolution:

• Binding Arbitration: Any dispute, claim, or controversy arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be resolved exclusively by binding arbitration in accordance with the rules of the American Arbitration Association (or a similar body as agreed by the parties).
• Location: The arbitration shall be conducted in a location within Pennsylvania, unless otherwise agreed.
• Waiver of Class Actions: To the fullest extent permitted by law, you agree to resolve any disputes on an individual basis and waive any right to participate in a class action or collective arbitration.

8. Modifications to the Terms

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website at getassimilate.com with a new effective date. It is your responsibility to review the Terms periodically. Continued use of the App after changes constitutes your acceptance of the modified Terms.

9. Termination

We may suspend or terminate your access to the App at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests. Upon termination, your right to use the App will immediately cease.

10. Miscellaneous

Entire Agreement:

These Terms constitute the entire agreement between you and Assimilate LLC regarding your use of the App and supersede all prior agreements and understandings.

Severability:

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
